These Terms of Service ("Terms") govern your use of Dastrum's digital marketing and workflow automation services ("Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.


1. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes on our website. It is your responsibility to check this page periodically for changes. Your continued use of the Services constitutes acceptance of any modifications.

For clients with customized services, the terms outlined in the applicable Service Level Agreement (SLA) shall supplement these Terms of Service. In the event of a conflict, the SLA will take precedence for the covered services.


2. Description of Services

Dastrum provides digital marketing and workflow automation services, including but not limited to:

  • Search engine optimization (SEO)

  • Social media management

  • Content creation

  • Email marketing

  • Online advertising

  • CRM workflow automation

  • Business process optimization


3. User Responsibilities

3.1 Account Security: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3.2 Compliance: You agree to comply with all applicable laws and regulations in your use of the Services.

3.3 Client Cooperation: Clients agree to provide timely access to necessary tools, platforms, and information required for Dastrum to deliver its services effectively. Delays caused by the client may affect service delivery timelines.


4. Payment and Billing

4.1 Fees: You agree to pay all fees associated with the Services as outlined in our pricing and billing policies.

4.2 Payment Information: You agree to provide accurate and complete payment information, and you authorize Dastrum to charge your payment method for any fees incurred.

4.3 Late Payments: If payments are not received within 30 days of the due date, Dastrum reserves the right to suspend services and charge a late fee of 1.5% per month on overdue amounts.


5. Termination

We reserve the right to terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for any reason, including but not limited to a breach of these Terms.


6. Confidentiality

6.1 Confidential Information: Both parties agree to keep confidential any information received from the other party that is marked as confidential or that a reasonable person would understand to be confidential.

6.2 Data Protection: Dastrum will process and store client data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).


7. Intellectual Property

7.1 Ownership: You acknowledge and agree that Dastrum retains ownership of all intellectual property rights related to the Services, including but not limited to trademarks, copyrights, and trade secrets.

7.2 Client License: Upon full payment, clients are granted a non-exclusive license to use deliverables created by Dastrum for their intended purpose. Dastrum retains ownership of all underlying intellectual property unless otherwise agreed in writing.


8. Limitation of Liability

To the maximum extent permitted by law, Dastrum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.


9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Dubai, UAE.


10. Dispute Resolution

10.1 Mediation and Arbitration: In the event of a dispute, both parties agree to first attempt resolution through mediation by a neutral third-party mediator. If mediation fails, disputes will be resolved through arbitration in accordance with UAE Arbitration Law.


11. Force Majeure

Dastrum is not liable for delays or failures caused by events beyond its control, including but not limited to natural disasters, government actions, or technical outages.


12. Service Modifications

Dastrum reserves the right to modify its Services at any time, provided that such modifications do not materially reduce the scope or quality of the Services agreed upon. Clients will be notified of significant changes in advance.
